(RED)NIGHTS Sweepstakes Rules for Facebook Entrants

Promotion begins at 12:00:01 a.m. Pacific Time ("PT") on June 1, 2009 and ends at 11:59:59
p.m. PT on June 5, 2009 ("Promotion Period").

NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF
WINNING. Promotion open to legal residents of the 50 United States and the District of Columbia,
13 years of age or older as of June 1, 2009 (except the New York, New York (RED)NIGHTS
concert performance at The Gramercy Theater on June 19, 2009, which is open only to legal
residents of the 50 United States and the District of Columbia, 16 years of age or older as of June
1, 2009), and (1) for purposes of the local drawing for the New York, New York (RED)NIGHTS
concert performance at The Gramercy Theater on June 19, 2009 (the "New York Drawing"), that
are residents of New York City or the following New York counties: Nassau, Suffolk or
Westchester, or Bergen County, New Jersey or Fairfield County, Connecticut, (2) for purposes of
the local drawing for the Dallas, Texas (RED)NIGHTS concert performance at The House of
Blues on June 18, 2009 (the "Dallas Drawing"), that are residents of the City of Dallas or the
following Texas counties: Ellis, Johnson, Tarrant, Denton, Collin, Rockwall or Kaufman, (3) for
purposes of the local drawing for the New Orleans, Louisiana (RED)NIGHTS concert
performance at The House of Blues on June 12, 2009 (the "New Orleans Drawing"), that are
residents of the City of New Orleans or the following Louisiana counties: Saint Bernard,
Plaquemines, Jefferson or Saint Tammany, and (4) for purposes of the local drawing for the Los
Angeles, California (RED)NIGHTS concert performance at The Wiltern Theatre on June 16, 2009
(the "Los Angeles Drawing"), that are residents of the City of Los Angeles or the following
California counties: Ventura, Kern, San Bernardino, Riverside or Orange. Each local drawing
geographical eligibility area described in (1), (2), (3) and (4) immediately above is sometimes
referred to as a "Local Drawing Area". Void where prohibited by law.

TO ENTER. Visit Facebook at www.facebook.com/joinred during the Promotion Period and follow the
instructions to enter the (RED)NIGHTS sweepstakes ("Sweepstakes"). Entries must be received
by 11:59:59 p.m. PT, June 5, 2009. Limit one entry per person. Although
subsequent attempts to enter may be received, only entrant's first entry during the specified
Sweepstakes entry period will count. No third party entry or entry through sweepstakes service
permitted. Employees, directors, officers and agents of The Persuaders, LLC ("Sponsor"), its
subsidiary companies, sales representatives, advertising and promotion agencies involved in this
Sweepstakes; and members of the immediate families (parent, child, sibling and spouse of each)
or households of any of the above are prohibited from entering the Sweepstakes. Sponsor and/or
its agents are not responsible for any lost, late, misdirected or incomplete entries.

Neither the Sponsor, nor its respective officers, directors, employees or agents are responsible
for interrupted or unavailable network, server or other connections, miscommunications, failed
telephone or computer hardware or software or telephone transmissions or technical failures,
Internet service provider/network/website accessibility or availability, garbled or jumbled
transmissions or other errors of any kind, whether human, mechanical or electronic; including,
without limitation, the incomplete, incorrect or inaccurate capture of entry information. Sponsor
reserves the right, in its sole discretion, to disqualify any individual found tampering (or attempting
to tamper) with the entry process, the website, or the Sweepstakes. Any attempt by an entrant to
deliberately damage the website or undermine the legitimate operation of the Sweepstakes is in
violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the
right to seek remedies and damages from any such entrant to the fullest extent permitted by law,
including, without limitation, criminal prosecution. In case of dispute as to identity of entrant, entry
will be declared made by the authorized Facebook account holder at
the time of entry, who must comply with these Sweepstakes Rules.
Sponsor reserves the right, at its sole discretion, to cancel/suspend/modify the Sweepstakes, if it becomes
corrupted in any manner, or due to fraud or other occurrences beyond Sponsor's control it cannot
be conducted as originally planned. In the event of cancellation, Sponsor will award the prizes in
a random drawing from all eligible entries received prior to cancellation.

DRAWING. The winner of the prize for each Local Drawing Area will be randomly selected in a
drawing on or about June 5, 2009 from among all eligible entries received by the Sweepstakes
administrator, whose decisions are final and binding in all matters relating to the Sweepstakes.
The potential winner will be notified by email on Facebook. Odds of winning a prize depend upon 
the number of eligible entries received.

PRIZE. Two (2) Grand Prizes for the New York Drawing: Two (2) tickets to the New York, New
York (RED)NIGHTS concert performance at The Gramercy Theater on June 19, 2009;
One (1) Grand Prize for the Dallas Drawing: Two (2) tickets to the Dallas, Texas
(RED)NIGHTS concert performance at The House of Blues on June 18, 2009;
Three (3) Grand Prizes for the New Orleans Drawing: Two (2) tickets to the New Orleans,
Louisiana (RED)NIGHTS concert performance at The House of Blues on June 12, 2009; and
Two (2) Grand Prizes for the Los Angeles Drawing: Two (2) tickets to the Los Angeles,
California (RED)NIGHTS concert performance at The Wiltern Theatre on June 16, 2009.
Total Approximate Retail Value of each Grand Prize is $300.
Winner and guest must be able to travel on applicable (RED)NIGHTS concert performance
concert, or prize will be forfeited in its entirety and may be awarded to an alternate winner, time
permitting.
All travel-related expenses, including, but not limited to, ground transportation, meals, gratuities 
and incidental hotel and personal expenses, are solely the responsibility of winner. Sponsor will not
replace any lost, mutilated, or stolen tickets or certificates. Any difference between stated approximate
retail value and actual value of prize will not be awarded. Winner and guest must comply with all
(RED)NIGHTS concert performance venue security requirements. All entrants understand that
travel, whether in civilized or remote areas and whether by plane, automobile, or other
conveyance, or by foot, on land and in the air, contains some inherent element of risk of accident,
illness, injury, loss or death, which may be caused by negligence, forces of nature or other
agencies, known or unknown. Winner understands that these risks may be present before,
during and after the (RED)NIGHTS concert performance. Winner and guest must accept the
terms and conditions of Sponsor and its management concerning the prize, or prize in its entirety
is subject to forfeiture. By participating in the Sweepstakes, entrants agree to indemnify and hold
harmless Sponsor and its affiliates, subsidiaries, agents (including, without limitation, their
advertising and promotion agencies), representatives and permitted assigns, and each of their
respective directors, employees and officers, from and against any and all injuries, losses,
damages, claims and actions of any kind arising from or relating to participation in the
Sweepstakes, or acceptance, possession, use, misuse or non-use of the prize that may be
awarded, including, without limitation, actual, direct, indirect, consequential, punitive, special, or
other damages.

Winner and guest must sign a Liability Release in which they accept the risk in attending the
(RED)NIGHTS concert performance, including, but not limited to, personal injury and/or death,
acknowledge that his/her participation in this prize event is voluntary, and he/she assumes the
risk of such factors and occurrences, and agrees that the Sponsor shall not be in any way
responsible for any resulting injury and/or death. Sponsor reserves the right in its sole discretion
to suspend or cancel the participation of any winner or guest due to non-compliance with any
security procedure or inappropriate behavior or misconduct. Prize will be awarded provided it is
claimed properly in accordance with these Sweepstakes Rules. No transfer of prize allowed. No
cash redemption of prize. Sponsor reserves the right to substitute prize for one of equal or
greater value if prize becomes unavailable. If an eligible minor wins the prize, the prize will be
awarded on his/her behalf to his/her parent or legal guardian. Prize winner (and his/her
parent/legal guardian if winner is an eligible minor) will be required to sign and return an Affidavit
of Eligibility, a Liability Release, and, where legal, at Sponsor's election, a Publicity Release,
within two (2) days of the date of the prize notification. Non-compliance within this time period
may result in disqualification and an alternate winner may be selected, if time permits, from
among the remaining entries in the drawing pool. If the prize notification or prize is returned as
undeliverable, or any prize documentation is not submitted as required by Sponsor, the
corresponding prize will be forfeited.

GENERAL. Taxes on prize are solely the responsibility of winner. By participating in this
promotion, entrants agree to abide by and be bound by these Sweepstakes Rules and the
decisions of the judges, which are final in all matters relating to this promotion. Participants waive
the right to assert as a cost of winning a prize any and all costs of redemption and any liability
which might arise from redeeming or seeking to redeem said prize, or from use, misuse,
acceptance or possession of said prize. By participating, entrants agree to release and hold
Sponsor and its affiliates, subsidiaries, agents (including, without limitation, their advertising and
promotion agencies), representatives and permitted assigns, and each of their respective
directors, employees and officers (collectively "Releasees"), harmless from and against any and
all liability arising from or in connection with participation in this promotion, any breach of entrant's
warranties and representations in these Sweepstakes Rules, any use by Sponsor or its agents of
the entry submitted, or the awarding, receipt or use of any prize. Entry constitutes permission for
Sponsor and its respective designees to use winner's name, likeness, voice, performance, and
information concerning winner's hometown and state, for advertising and promotional purposes in
any and all media throughout the world in perpetuity at their discretion without additional
compensation, unless prohibited by law. By entering, entrants further agree that all issues and
questions concerning the construction, validity, interpretation and enforceability of these
Sweepstakes Rules, participant's rights and obligations, or the rights and obligations of the
Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance
with, the laws of the State of New York without giving effect to any choice of law or conflict of law
rules (whether of the State of New York or any other jurisdiction), which would cause the
application of the laws of any jurisdiction other than the State of New York. By entering, entrants
consent to the jurisdiction and venue of the federal, state and local courts located in New York,
New York.

DATA COLLECTION. Sponsor collects personal information from you if you win the
Sweepstakes. See Sponsor's privacy policy at http://www.joinred/Privacy.aspx for information
about how personal information may be used.

LIMITATIONS OF LIABILITY. Sponsor and other Releasees are not responsible for any attempt
by an entrant or other individual to deliberately damage or undermine the legitimate operation of
this promotion, including but not limited to any fraudulent claims, may be a violation of criminal
and civil laws. Should such an attempt be made, Sponsor reserves the right to seek remedies
and damages from any such individual, to the fullest extent permitted by law, including criminal
prosecution. Sponsor's failure to enforce any term of these Sweepstakes Rules shall not
constitute a waiver of that provision. Participant engaging in any of the foregoing activities may be
disqualified and will forfeit any prize won.

WINNER'S LIST. A winner's list will be available after June 5, 2009 for a period of sixty (60) days.
